Integrated Solutions Engineering is a professional audio-visual systems integration company that provides design, engineering, installation, and support services for AV systems in various environments including conference rooms, auditoriums, broadcast facilities, and command centers.

ISE provides the following services:

  • Professional AV Integration & Installation
  • System Testing, Commissioning & Training
  • Ongoing Technical Support & Maintenance
  • Consulting & Project Management

All services are subject to separate written agreements, proposals, or contracts that will specify the scope, timeline, pricing, and terms specific to each project.

3. Acceptance of Terms

By accessing our website, requesting a quote, or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. These Terms apply to all users of our website and services, including clients, visitors, and any other parties who access or use our services.

4. Project Agreements

All professional services provided by ISE are governed by separate project agreements, proposals, or contracts. These agreements will include:

  • Detailed scope of work and deliverables
  • Project timeline and milestones
  • Pricing, payment terms, and schedule
  • Warranty terms and limitations
  • Change order procedures
  • Intellectual property rights

In the event of any conflict between these Terms and a specific project agreement, the project agreement shall prevail.

5. Pricing and Payment

All pricing for ISE services is provided in written proposals or contracts. Pricing may vary based on project scope, complexity, timeline, and other factors.

Payment Terms:

  • Payment terms will be specified in each project agreement
  • Late payments may incur interest charges as specified in the agreement
  • ISE reserves the right to suspend services for non-payment
  • All prices are subject to change without notice until a formal agreement is executed

6. Intellectual Property

All intellectual property rights in designs, engineering documents, system configurations, software customizations, and other work product created by ISE in connection with a project ("Work Product") shall be owned by ISE unless otherwise specified in a written agreement.

Upon full payment for services, ISE grants the client a non-exclusive, non-transferable license to use the Work Product solely for the purpose of operating and maintaining the installed systems. Clients may not reproduce, distribute, or create derivative works from the Work Product without ISE's written consent.

ISE retains the right to use project information (excluding confidential client information) for marketing, portfolio, and reference purposes.

7. Warranties and Disclaimers

Equipment Warranties: All equipment and products installed by ISE are covered by their respective manufacturer warranties. ISE will facilitate warranty claims but is not responsible for manufacturer warranty terms or coverage.

Workmanship Warranty: ISE warrants that all installation and integration work will be performed in a professional manner consistent with industry standards. Specific warranty terms will be outlined in project agreements.

Disclaimer: EXCEPT AS EXPRESSLY SET FORTH IN A PROJECT AGREEMENT, ISE PROVIDES SERVICES "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ISE'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO OUR SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY THE CLIENT TO ISE FOR THE SPECIFIC PROJECT GIVING RISE TO THE CLAIM.

ISE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR LOSS OF USE, EVEN IF ISE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

These limitations do not apply to damages resulting from ISE's gross negligence or willful misconduct.

9. Client Responsibilities

Clients are responsible for:

  • Providing accurate project requirements and specifications
  • Ensuring adequate access to project sites for installation work
  • Obtaining necessary permits, approvals, and authorizations
  • Providing necessary infrastructure (power, network, etc.) as specified in project agreements
  • Timely payment as specified in project agreements
  • Proper use and maintenance of installed systems

10. Change Orders

Any changes to the scope of work, specifications, or project requirements must be documented in a written change order signed by both parties. Change orders may result in adjustments to project timeline, pricing, and deliverables. ISE is not obligated to perform work outside the original scope without an executed change order.

11. Project Delays

ISE will use reasonable efforts to complete projects according to agreed timelines. However, ISE shall not be liable for delays caused by:

  • Client delays in approvals, decisions, or access
  • Manufacturer or supplier delays
  • Force majeure events
  • Changes in project scope or requirements
  • Unforeseen site conditions or technical issues

12. Confidentiality

ISE acknowledges that it may have access to confidential information belonging to clients. ISE agrees to maintain the confidentiality of such information and use it solely for the purpose of providing services. This obligation shall survive termination of any project agreement.

Clients agree to maintain the confidentiality of ISE's proprietary information, including but not limited to pricing structures, technical methodologies, and business processes.

13. Termination

Either party may terminate a project agreement in accordance with the terms specified therein. Upon termination:

  • Client shall pay for all services rendered and expenses incurred up to the termination date
  • ISE shall deliver all completed work product to the client
  • Confidentiality obligations shall continue

14. Website Use

When using our website, you agree to:

  • Use the website only for lawful purposes
  • Not attempt to gain unauthorized access to any part of the website
  • Not transmit any viruses, malware, or harmful code
  • Not use automated systems to access the website without permission

Any disputes arising from or related to these Terms or our services shall be resolved through good faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of a recognized arbitration organization, or through litigation in courts of competent jurisdiction, as specified in project agreements.

18. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which ISE operates, without regard to conflict of law principles. Specific project agreements may specify different governing law.

19. Modifications to Terms

ISE reserves the right to modify these Terms at any time. Material changes will be posted on our website with an updated "Last Updated" date. Continued use of our website or services after such modifications constitutes acceptance of the updated Terms.

Modifications to specific project agreements require written consent from both parties.

20. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that most closely reflects the intent of the original provision.

21. Entire Agreement

These Terms, together with any project-specific agreements, constitute the entire agreement between you and ISE regarding the use of our website and services, superseding any prior agreements or understandings.
